Wu Changjiang’s Weibo broke the news about Wang Wu’s “secret agreement”
At 16:00 on August 20, Wu Changjiang posted two consecutive Weibo posts announcing his "secret agreement" with Wang Donglei. Wu Changjiang said on Weibo that Wang Donglei used a fraudulent agreement to gain trust and obtain NVC's equity swap, and then went back on his words and refused to implement the agreement, and intensified his efforts to use NVC to gamble with Dehao. Wu Changjiang claimed that Wang Donglei not only failed to fulfill his promise to borrow 800 million yuan, but also used illegal means to intercept and misappropriate the interests of the listed company Dehao Runda (which will be reported directly in the form of law), and Wu himself signed the agreement to protect NVC and ensure the future of NVC. At the same time, Wu Changjiang said that Wang Donglei used the media to infringe on his reputation and seize the NVC board of directors, which would lead to the collapse of the NVC brand. Wu has started to protect his legitimate rights and interests in accordance with the law, and the courts in Chongqing, Wanzhou, and Huizhou have accepted relevant lawsuits.
NVC Lighting Temporary Headquarters was established
At 10 a.m. on August 23, the official operation celebration meeting of Huizhou NVC Lighting Temporary Headquarters and the National Operations Center Meeting were held at the Huizhou NVC Lighting Experience Hall. About 100 people from more than 30 operators across the country attended the meeting.
Just as Wang Donglei held the establishment meeting of the temporary headquarters in Huizhou, Wu Changjiang posted four Weibo posts before noon on the 23rd. On Weibo, Wu Changjiang questioned Dehao Runda's falsified accounts, saying that as the second largest shareholder, he would fulfill his rights as a shareholder and initiate an audit in accordance with the law regarding Dehao Runda's long-term use of various means to obtain government subsidies, false additional issuances, arbitrage bond issuance, etc., as well as the company's huge book losses due to unregulated market operations. At the same time, Wu Changjiang claimed that the temporary headquarters harmed Chongqing’s interests.

On the afternoon of August 23, the author was fortunate enough to interview one of the protagonists of this dispute—Wang Donglei, executive director of NVC Lighting. How does this dispute end? Where is the future for NVC Lighting? Next, let us hear what Wang Donglei said?
Author: Director Wang, what is the starting point for the board of directors to decide to set up a temporary headquarters in Huizhou and hold an operations center meeting?
Wang Donglei: There are two main starting points. One is the interests of the NVC factory and employees, the interests of the operation center and the interests of dealers. It goes without saying that everyone is aware of the current operation of NVC Lighting. Except for the Chongqing Wanzhou NVC factory, which is still shut down, other factories have resumed production. Since the conversation cannot continue, for the benefit of everyone surrounding the NVC brand, we have to find another way to establish a channel model. The production throughput of Chongqing Wanzhou NVC accounts for 25% of all production. Tracing the origin of Shuoyuan's raw materials, the board of directors divided its production into Huizhou and Zhejiang, and joined the corresponding OEMs. After decomposition, the Wanzhou production stoppage will have little impact on the NVC supply chain, and the crisis of shortages and out-of-stocks will soon be resolved. Secondly, I personally hope to put aside all specific arguments. NVC currently has 37 operators, and 30 of them are present at the meeting today. As expected, everything the board of directors does revolves around the common interest of protecting the NVC brand. At the same time, I would like to emphasize that holding an operations center meeting in Huizhou is not the so-called "return of the headquarters", and the headquarters has never left Huizhou. What is even more gratifying is that the normal production of Huizhou NVC Optoelectronics has received broad support from Huizhou city leaders and relevant bureaus. It can be seen that the starting point is right and the support will naturally come accordingly.Come.
Author: After this operation center meeting, what are the development plans for NVC Lighting in the second half of the year?
Wang Donglei: At present, NVC Lighting’s LED sales are about 700-800 million yuan, accounting for more than 20% of the overall sales. This crisis has a certain impact on the sales of NVC Lighting, so what we need to do now is to resume production and safeguard the interests of 100,000 NVC people. In the future, I would like to borrow the technical strength of Dehao Runda to transform the LED products of NVC Lighting. In fact, NVC and Dehao Runda have strong resource complementarity. Dehao Runda's light sources are completely the online resources of NVC Lighting. Dehao Runda's technology research and development is something NVC Lighting does not have. There is no better complementarity than this. We will continue to uphold the concept of building NVC Lighting into a high-end brand, with the goal of surpassing GE and becoming the world's third-ranked international lighting brand after Philips and Osram. This is also a dream I have for myself in the lighting industry. If I achieve it, I will have no regrets in my life.
Author: Speaking of NVC, we can’t help but talk about what Wu Changjiang recently mentioned on Weibo about Dehao Runda. What is your explanation for this? Is it still possible to negotiate a solution?
Wang Donglei: Explanation? What’s the explanation for this nonsense! He can talk about a private agreement, which is a work agreement, and he has no integrity at all. So I completely ignored what he said and did and followed legal procedures. NVC Lighting held a shareholder meeting on August 29. Whether a CEO is suitable for his position or not is decided by the board of directors, the system, and legal procedures. If a resolution unanimously passed by shareholders holding more than 5% of the shares is not implemented, what kind of behavior is that? This is a society governed by the rule of law, rather than using the rule of law to explain matters to attract public attention.
Author: You were also involved in this NVC Lighting controversy. What are the gains and losses of the whole incident for you?
Wang Donglei: Gain, not really; loss is that I was not kind to others, did not know enough about NVC’s equity, and did not listen to the shareholders’ advice to me. I recommended Wu Changjiang to be the executive director, and he was also recommended to join the shareholders' meeting. The final result was that the fire burned on me. I have always had great trust in Wu Changjiang. I let him host every operator meeting, support his face, and become NVC's number one person. But the reality is that people are unpredictable. Let’s not talk about gambling behavior. The interest rates are terrible. There are also inexplicably registered subsidiaries. None of the shareholders on the board of directors know about it. They are completely emptying the company for their own personal gain.
Author: If NVC can gradually get on the right track, Mr. Wang, how will you control the two brands of NVC Lighting and Dehao Runda?
Wang Donglei: NVC Lighting and Dehao Runda are still walking on two separate lines. NVC Lighting still uses its brand advantage in the lighting industry, and its goal is to enter the top three companies in the world as I mentioned. Dehao Runda takes the mid-range line, and technology research and development is still mainstream. Of course, the resources of the two can still be used interchangeably to maximize the benefits of the two brands. It is not impossible to speculate on how the two major companies will develop in the future. One is to completely integrate Dehao Runda's light sources into NVC Lighting and integrate NVC Lighting's accessories resources; the other is for Dehao Runda to completely acquire NVC Lighting and eventually merge it into one company. Of course, in the ever-changing market, all development takes time. The ultimate goal is to develop in whichever direction is better.
Author: Mr. Wang, as a technical CEO, NVC Lighting wins through channels. How do you grasp this?
Wang Donglei: Personally, I am more inclined to engage in technology and research and development, so after NVC lighting production is on track, I will still find a professional manager to manage it. As for the company's board of directors, it is correct to use institutional institutions to manage the company. NVC Lighting actually has very good resources, including SAIF SoftBank and Goldman Sachs Venture Capital. These resources are used to manage the company and can achieve sincere cooperation. The development space of LED lighting is infinite. Now we can see LED semiconductors in the market. It can be speculated that it will become LED-IT if it develops. Just like buying a lamp, you not only look at the light source, but also the quality, appearance, etc. For NVC Lighting Company, we are currently doing three things: first, our goal is to strive to be the first in the industry; second, improve the quality of operations and increase the brand's market share; third, cooperate more closely with operators to fully mobilize enthusiasm and do a good job in the market.
